Donor Responsibilities

Well Fund takes all reports of fraud or misuse of funds very seriously. Users who become aware of fraud or misuse of funds should contact Well Fund immediately. Users and campaign creators are solely responsible for determining the tax consequences, if any, resulting from the donation or reception of funds and for paying any applicable taxes. Well Fund does not guarantee that donations are tax-deductible or eligible for tax credits.

Your platform must comply with:

  • State Charity and Fundraising Laws: Some states may require registration as a charitable fundraising platform or commercial fundraiser. These laws often include annual registration and reporting, disclosure requirements, and prohibitions on misleading solicitations.

  • Consumer Protection Laws: You must ensure that campaigns are not deceptive or misleading. Platforms are expected to monitor for fraud, provide clear disclaimers, and respond to complaints.

  • Privacy and Data Security Laws: You must comply with state-level privacy laws (e.g., CCPA) and HIPAA if handling health-related data. Your privacy policy must clearly state how personal and medical data is collected, used, and shared.

  • Tax and Financial Reporting: Donations are generally not tax-deductible unless made to a registered 501(c)(3). You may need to issue Form 1099-K to campaign creators if they receive over $600 via third-party payment processors.

Indemnification by Users and Campaign Creators

To the fullest extent permitted by applicable law, you (as a user or campaign creator) agree to release, indemnify, defend, and hold harmless Well Fund, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, awards, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • your use of the Well Fund website or services,

  • your campaign or any donation to or from a campaign,

  • any content you submit, post, or otherwise make available through the platform,

  • your violation of these Terms of Service, or

  • your infringement or violation of any rights of another person or entity.

Well Fund reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with Well Fund in the defense of such claims.

Limitation of Liability

To the maximum extent permitted by applicable law, you expressly understand and agree that Well Fund and its affiliates shall not be liable for any of the following, regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if advised of the possibility of such damages:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages.

  • Loss of profits, revenue, or anticipated savings.

  • Loss of profits, revenue, or anticipated savings.

  • Loss of use or data, including corruption or inaccessibility.

  • Any other intangible losses.

This limitation applies to damages arising out of or relating to your use of, or inability to use, the services; unauthorized access to or alteration of your transmissions or data; conduct or statements of any third party through the services; and any other matters relating to the services. To the fullest extent permitted by law, Well Fund’s total liability for any claims, in aggregate, will not exceed the total amount you paid to Well Fund in the six (6) months prior to the event giving rise to the claim. You agree that Well Fund and its affiliates are not responsible for the content or conduct of third parties (including users), and are not liable for any errors, omissions, or damages arising from user-generated content. Well Fund expressly disclaims any responsibility or liability for the success, failure, or outcome of any campaign.

Certain jurisdictions may not allow some of the exclusions or limitations set forth above. If any such exclusions or limitations do not apply to you, they shall be limited to the extent permitted by law. If you are dissatisfied with any part of the services or these Terms of Service, your sole and exclusive remedy is to stop using the services.

Well Fund may update or modify these Terms of Service at any time, at our sole discretion. In certain cases, updates may take effect with little or no prior notice. When changes are made, we will post the updated Terms of Service on this page and indicate the date of the latest revision.
